Acceptance of Terms
Welcome to MetabolIQ AI ("we," "us," or "our"). By creating an account, accessing, or using our platform and its features, including Thinking Spaces (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not use the Service.
Beta Service Warning
PLEASE READ CAREFULLY:
The Service is currently in a "Beta" phase. This means:
"As Is" Basis: The Service is provided "as is" and "as available" without warranties of any kind.
Bugs & Errors: The Service may contain bugs, errors, or interruptions.
Data Loss: We do not guarantee the preservation of your Thinking Spaces, data, or settings. We are not liable for any loss of content or data that may occur during the Beta.
Modification: We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.
Eligibility & Account Registration
3.1 Age Requirement
You must be at least 16 years old to use the Service. By registering, you confirm that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.
3.2 Individual Use (B2C)
You are entering into this agreement as an individual. While you may be using this Service as part of a university course or experiment, your account and legal relationship are solely with us, not your educational institution. You are responsible for complying with any academic integrity policies applicable to you.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activities that occur under your account.
User Content & Artificial Intelligence
4.1 Ownership of Your Content
You retain all ownership rights to the text prompts, data, and layouts you upload to your Thinking Spaces ("User Content"). We do not claim ownership of your User Content.
4.2 License to Us
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, copy, and process your User Content solely for the purpose of:
Providing and displaying the Service to you.
Generating AI responses via our third-party providers.
Debugging technical issues.
Clarification: As stated in our Privacy Policy, we do not use your User Content to train our internal AI foundation models.
4.3 AI Generated Output
You acknowledge that:
Accuracy: Artificial Intelligence is probabilistic and can make errors ("hallucinations"). You should not rely on AI-generated advice as a sole source of truth, especially for medical, legal, or financial decisions.
Ownership of Output: Subject to applicable law, you own the output generated by the AI in response to your prompts.
Acceptable Use
You agree not to use the Service to:
Generate or share content that is illegal, harmful, threatening, abusive, defamatory, or promotes violence.
Infringe upon the intellectual property rights of others.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Use the Service to build a competitive product.
Automate access to the Service (e.g., via bots or scrapers) without our permission.
Intellectual Property
The Service, including the MetabolIQ AI brand, the Thinking Spaces interface, logo, code, and design, is owned by us and protected by Canadian and international copyright and trademark laws.
Termination
We reserve the right to suspend or terminate your access to the Service at our sole discretion, at any time, for any reason, including if we believe you have violated these Terms.Upon termination, your right to use the Service will immediately cease, and we may delete your User Content.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:In no event shall MetabolIQ AI Inc., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of your access to or use of the Service.Since this is a free Beta Service, our total liability to you for any claim arising out of these Terms or the Service is limited to $0 CAD (or the amount you paid us in the last 12 months, if any).
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.Any disputes arising from these Terms shall be resolved in the courts located in Toronto, Ontario.
Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or a prominent notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
