  1. Acceptance of Terms

Welcome to MetabolIQ AI ("we," "us," or "our"). By creating an account, accessing, or using our platform and its features (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not use the Service.

  1. Account Types & Eligibility
  • 2.1 Age Requirement: You must be at least 16 years old to use the Service. By registering, you confirm that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

  • 2.2 Individual Accounts (Direct Users): If you are registering for the Service as an individual, you are entering into this agreement directly with us. Your account and legal relationship are solely with us.

  • 2.3 Organizational Accounts (Enterprise/Contract Users): If you are using the Service through an organization (e.g., your employer, a university, or another corporate entity) that has signed a separate enterprise agreement with us, your use of the Service is governed by that master agreement. In the event of a conflict between these Terms and your organization's agreement, the organization's agreement will govern. However, you remain individually responsible for complying with the Acceptable Use policies outlined in Section 4.

  • 2.4 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

  • 2.5 Sponsored Participants: If you access through a program sponsored by an organization under a separate agreement with us (a "Sponsor"), your use is governed by these Terms together with that agreement, accepted at login. Ownership follows Section 3.2.

  1. User Content, Privacy, & Artificial Intelligence
  • 3.1 Data Protection & Privacy: Our collection and use of personal information in connection with your access to and use of the Service is described in our Privacy Policy. Depending on your location, your personal information may be protected by laws including the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada and, in Québec, the Act respecting the protection of personal information in the private sector (Law 25); the General Data Protection Regulation (GDPR) in the European Union and European Economic Area; and the California Consumer Privacy Act, as amended (CCPA/CPRA), in California. Where other data protection laws apply to you, our processing of your personal information is governed by those laws. Your rights and our practices are described in our Privacy Policy.

  • 3.2 Ownership of Your Content: You retain ownership of the content you create ("User Content"), subject to the following.
    (a) Direct users: If you use the Service on your own, not through a Sponsor, you retain all right, title, and interest in the User Content you create.
    (b) Sponsored participants: If you access the Service through a Sponsor, the Sponsor owns the content created within its program. You keep the right to use and be attributed for what you contribute. Content created jointly in shared spaces is not owned exclusively by any one participant.
    (c) Our rights: We retain all right, title, and interest in the Service, its underlying technology, and the de-identified, aggregated insights described in Section 3.5. These insights are derived from use of the Service and do not include any party's User Content. Your rights over your personal information always remain yours.

  • 3.3 License to Us: By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, copy, and process your User Content solely for the purpose of:

    • Providing and displaying the Service to you.

    • Generating AI responses via our third-party providers.

    • Debugging technical issues.

  • Clarification: As stated in our Privacy Policy, we do not, and will not, use the content of your work to train foundation models or any model that could reproduce or memorize it. Your content is processed by third-party model providers, which may be located in other countries, only to generate responses for you. Zero data retention and jurisdictional data residency are available under a separate organizational agreement.

  • 3.4 AI-Generated Output: You acknowledge that:

    • Accuracy: Artificial Intelligence is probabilistic and can make errors ("hallucinations"). You should not rely on AI-generated advice as a sole source of truth, especially for medical, legal, or financial decisions.

    • Ownership of Output: Subject to applicable law and to Section 3.2, you own the output generated in response to your prompts. Where you participate through a Sponsor, output is owned as set out in Section 3.2.

  • 3.5 Aggregated Insights: We may generate and use de-identified, aggregated insights derived from use of the Service, including patterns in how individuals and groups reason, collaborate, and work with AI. These insights do not identify you, your organization, or any Sponsor, and cannot reasonably be used to do so. They are owned by us and form part of the Service's underlying technology. This Section survives termination.

  1. Acceptable Use

You agree not to use the Service to:

  • Generate or share content that is illegal, harmful, threatening, abusive, defamatory, or promotes violence.

  • Infringe upon the intellectual property rights of others.

  • Reverse engineer, decompile, or attempt to extract the source code of the Service.

  • Use the Service to build a competitive product.

  • Automate access to the Service (e.g., via bots or scrapers) without our permission.

  1. Confidentiality

Each party may receive confidential information from the other, including, on our side, the Service and its features and performance, and on your side, the problems, data, and contributions you bring to the Service. Each party will use the other's confidential information only to use or provide the Service, will protect it with reasonable care, and will not disclose it to others except to people bound by equivalent obligations. This does not apply to information that is or becomes public through no fault of the receiving party, was lawfully known before disclosure, or is independently developed. These obligations survive termination for three years.

  1. Intellectual Property

The Service, including the MetabolIQ AI brand, interfaces, logos, code, and design, is owned by us and protected by Canadian and international copyright and trademark laws.

  1. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, at any time, for any reason, including if we believe you have violated these Terms. Upon termination, we will provide a grace period of 30 days for you to export your data. After this period, your account data and User Content may be permanently deleted or anonymized. (Note: For Sponsored Participants and their Sponsor, termination is handled in accordance with the Sponsor's agreement.)

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: In no event shall MetabolIQ AI Inc., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of your access to or use of the Service. Our total liability to you for any claim arising out of these Terms or the Service is limited to the amount you paid us to use the Service in the 12 months preceding the claim.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Toronto, Ontario.
